Interactions Between Users
The Services are designed to help users connect with one another, including for networking, collaboration, hiring, and the exchange of services. Peer Junction is not a party to, and has no responsibility or liability for, any agreement, transaction, communication, or relationship between users.
We do not screen, endorse, or guarantee any user, offer, listing, or service, and we make no representation regarding the identity, qualifications, quality of work, reliability, or conduct of any user. Any verification status, role, or badge displayed in the Services reflects only a limited review by Peer Junction at a point in time and does not constitute an endorsement, certification, or guarantee of any kind.
You are solely responsible for your interactions with other users and for exercising appropriate caution, including before making any payment or commencing any work. To the fullest extent permitted by law, you release Peer Junction from any claims, demands, and damages arising out of or connected with any dispute between you and another user.
User Content
Ownership
As between you and Peer Junction, you retain all ownership rights in your User Content.
License to Peer Junction
By submitting User Content, you grant Peer Junction a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, display, and distribute your User Content solely as necessary to operate, provide, moderate, secure, and improve the Services. This license continues for a commercially reasonable period after you remove your User Content, including where retention is necessary for safety, enforcement, or legal purposes.
Your responsibilities
You represent and warrant that you own or have the necessary rights to your User Content, and that your User Content and our use of it as permitted by these Terms will not violate any law or infringe the rights of any third party.
No obligation to monitor
We are not obligated to monitor, review, or retain User Content, but we may do so at our discretion, including through automated tools, to enforce these Terms and protect the Services and its users.
Moderation and Enforcement
We may, at our sole discretion and with or without notice, take any action we consider appropriate in response to actual or suspected violations of these Terms or the Community Rules, or to protect the Services, our users, or the public. Such actions may include removing or restricting Content, modifying display names or nicknames, issuing warnings, limiting features, timing out, suspending, or permanently removing a user.
We may use automated systems to help detect spam, scams, malicious links, impersonation, and other abuse. Decisions regarding enforcement are made in our discretion, and we are not obligated to explain or justify any specific action.
Where we determine that a user has engaged in malicious, deceptive, or unlawful activity, we may end that user's access at once, without prior notice and without any refund or compensation. "Fraudulent" includes any action undertaken to mislead, or to misrepresent your identity, work, reputation, or other information.
Reporting Violations
If you encounter Content or conduct that you believe violates these Terms or the Community Rules, please report it using the reporting tools provided within the Services or by contacting us. We review reports in our discretion, and submitting a report does not obligate us to take any particular action.
Copyright and Intellectual Property Complaints
We respect the intellectual property rights of others and expect users to do the same. If you believe that Content available through the Services infringes your copyright or other intellectual property rights, please send a written notice to legal@peerjunction.com that includes:
- Your physical or electronic signature;
- Identification of the work you claim has been infringed;
- Identification of the allegedly infringing Content and information reasonably sufficient for us to locate it;
- Your name, address, telephone number, and email address;
- A statement that you have a good-faith belief that the use is not authorized by the owner, its agent, or the law; and
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or are authorized to act on the owner's behalf.
We may remove or disable access to Content that is the subject of a notice and may terminate the participation of repeat infringers in appropriate circumstances.
Peer Junction Intellectual Property
The names, logos, trademarks, and service marks ("Marks") appearing in the Services belong to Peer Junction or their respective owners. No license to use any Mark is granted by these Terms. You may not use any Mark, including in domain names, keywords, hidden text, or search metadata, without prior written consent from Peer Junction or the applicable owner.
The Services, including all graphics, designs, text, software, and other materials provided by Peer Junction, excluding User Content, are owned by or licensed to Peer Junction and are protected by copyright and other intellectual property laws. Except as expressly allowed by these Terms, you may not reproduce, adapt, republish, distribute, sell, sublicense, or otherwise exploit any such materials without our express written permission. Any unauthorized use may violate copyright, trademark, and other laws, and we reserve all rights and remedies available to us, whether civil or criminal.
Feedback
If you submit suggestions, ideas, or other feedback regarding the Services, you agree that we may use it for any purpose without restriction or obligation to you.
Third-Party Services and Links
The Services operate on and may integrate with third-party platforms, websites, and services, including Discord, and may provide links that allow you to leave the Services to access third-party material, or bring third-party material into the Services through hyperlinks, embeds, or framing technology (each, a "Linked Site"). Linked Sites are outside our control, and we cannot review, edit, or verify their content. You access Linked Sites and any information they contain at your own risk. Your use of third-party services is governed by their respective terms and privacy policies, including the Discord Terms of Service and Community Guidelines. Peer Junction does not control and is not responsible for any third-party service, Content, or practice, and the inclusion of any link does not imply our endorsement.
Communications
You consent to receive communications from us electronically, including through Discord messages and email. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Changes to the Services
The Services are evolving. We may add, modify, suspend, or discontinue any part of the Services at any time, temporarily or permanently, with or without notice, and we will not be liable to you or any third party for doing so.
Paid Features
We may in the future offer paid features, subscriptions, or services. Additional terms, including pricing, billing, and refund terms, may apply and will be presented at the time of purchase. We may adjust any paid offering, including its features and price, at our discretion, and will notify affected paying users before such changes apply to them. Except where required by law, amounts paid are non-refundable, and no refund will be issued where access is suspended or terminated for a violation of these Terms.
Termination
You may stop using the Services at any time, including by leaving our Discord server. We may suspend or terminate your access to all or part of the Services at any time, for any reason or no reason, with or without notice, including for any violation of these Terms. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including those concerning User Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
Disclaimer of Warranties
All content, products, and services on or obtained through the Services or any Linked Site are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Peer Junction disclaims all warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Peer Junction does not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that any Content, including User Content and information provided by other users, is accurate, reliable, or safe.
Limitation of Liability
To the fullest extent permitted by law, in no event will Peer Junction or its owners, staff, volunteers, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to these Terms or the Services, including any conduct or Content of any user or third party, whether based in contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility of such damages.
To the fullest extent permitted by law, Peer Junction's total liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid to Peer Junction, if any, in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Peer Junction and its owners, staff, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your access to or use of the Services, (b) your User Content, (c) your interactions or dealings with other users, or (d) your violation of these Terms or of any law or the rights of any third party.
Dispute Resolution
Informal resolution
Before filing any claim against Peer Junction, you agree to first contact us at legal@peerjunction.com with a written description of the dispute and the relief you seek, and to attempt in good faith to resolve the dispute informally for at least sixty (60) days.
Governing law and venue
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law principles. Subject to the informal resolution requirement above, any such dispute shall be brought exclusively in the state or federal courts located in the State of Georgia, and you and Peer Junction consent to the personal jurisdiction of those courts.
Individual claims only
To the fullest extent permitted by law, you and Peer Junction agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Time limit
To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arises, or it is permanently barred.
Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, provide reasonable notice, such as through an announcement in the Services. Revised Terms take effect when posted unless otherwise stated. Your continued use of the Services after revised Terms take effect constitutes your acceptance of them.
